Terms of Business
These terms apply to sales of works concluded by Heritage Gallery FZE (“Heritage Gallery”), unless otherwise agreed in writing.
Formation of contract
A contract is formed when we issue an invoice or written confirmation of sale and you accept it. Nothing on the website or in preliminary correspondence constitutes a binding offer.
Price, taxes and payment
Prices are quoted in the currency stated on the invoice and exclude VAT, transport, insurance, export or import duties and any resale right, unless stated otherwise.
Payment is due in full before delivery unless we agree otherwise in writing. Payment is made by bank transfer to the account named on the invoice. We do not accept payment from a third party unless agreed in advance in writing.
Title and risk
Title passes only when we have received payment in full and cleared funds. Risk passes on delivery or collection, whichever comes first.
Authenticity and provenance
Every work we offer has been examined in person, checked against the catalogue raisonné where one exists, condition-reported and, where the artist’s estate requires it, formally authenticated before being offered.
We provide the provenance known to us at the time of sale. Where a work carries a certificate of authenticity, the certificate is issued by the body named on it and any warranty it contains is that body’s.
We warrant that we have carried out the research described above in good faith. Any further warranty of authenticity is given only if expressly stated in the invoice or in a separate written agreement.
Condition
Works are sold in the condition they are in at the time of sale. Condition reports are provided on request and express our opinion, not a warranty. Buyers are encouraged to inspect a work in person or to instruct their own conservator before purchase.
Antiquities and cultural property
Where a work is an archaeological object or otherwise constitutes cultural property, we sell it on the basis that, to the best of our knowledge after reasonable enquiry, it left its country of origin lawfully and its subsequent movements were lawful.
Buyers are responsible for satisfying themselves as to the legal position in their own jurisdiction before purchase.
Export
Works located in Spain may require an export permit from the Ministry of Culture under Law 16/1985 on Spanish Historical Heritage. Where a permit is required, we will apply for it, but we cannot guarantee that it will be granted, and a refusal does not entitle either party to treat the contract as void unless agreed otherwise in writing.
Buyers are responsible for import duties and formalities in the destination country.
Anti-money-laundering checks
As dealers in works of art we are subject to the applicable anti-money-laundering legislation. For transactions at or above the applicable threshold we are required to identify and verify the buyer and, where relevant, the beneficial owner, and to establish the source of funds.
We may decline or delay a transaction until these checks are complete. We keep the records for the period the law requires. This processing is described in our Privacy Policy.
Delivery
We arrange transport and insurance on request, at the buyer’s cost. Unless agreed otherwise, we use specialist fine art shippers.
Cancellation
Sales to businesses and to collectors buying in a professional capacity are final. Where the buyer is a consumer and the contract is concluded at a distance, the statutory right of withdrawal applies as provided by law.
Confidentiality
We treat the identity of our clients and the terms of their transactions as confidential, save where disclosure is required by law or by a competent authority.
Law and jurisdiction
Spanish law applies. Disputes are subject to the courts of Barcelona.
